Section 7(1) of the Companies Act, 2013 provides that there shall be filed with the Registrar within whose jurisdiction the registered office of the company is proposed to be situated the memorandum and articles of the company duly signed by all the subscribers, a declaration by an advocate, chartered accountant, cost accountant or company secretary engaged in the formation, and by a person named as a director, manager or secretary, that all the requirements of the Act in respect of registration have been complied with, and a declaration from each subscriber and first director that he is not convicted of any offence in connection with the promotion, formation or management of any company and is not guilty of fraud.
It must also file the address for correspondence until the registered office is established, the particulars, proof of identity and residential address of every subscriber, the particulars of the first directors with their Director Identification Numbers, and the written consent of each first director to act, in Form DIR-2.
