How to use this volume
Solve the paper first, under exam conditions and against the clock. Then read the answers here and mark your own. Reading a solution before attempting the question feels productive and teaches very little, because recognising an answer is not the same as being able to write one.
Q.1: Answer any six of the following questions in 2-3 sentences
12 Marks - 2 marks each
Answer
Section 2(13) of the Sale of Goods Act, 1930 defines a "seller" as "a person who sells or agrees to sell goods".
What the definition covers.
A wider meaning for the unpaid seller. For the rights of an unpaid seller, section 45(2) extends "seller" to "any person who is in the position of a seller". One example is an agent of the seller to whom the bill of lading has been endorsed. Another is a consignor or agent who has himself paid, or is directly responsible for, the price.
Why the meaning matters. The seller must deliver goods of the right description, quality and quantity. He also has the rights of an unpaid seller. Both attach to the person who answers this definition.
Ramendra Nath Roy v. Brajendra Nath Dass, (1919) 53 IC 986 (Calcutta High Court). A broker bought jute for a buyer and was personally liable to his own sellers for the price. When the buyer became insolvent, he tried to stop the goods in transit. The High Court held that, being personally liable for the price, he was in the position of an unpaid seller, with the right of stoppage.
