(a) Mr. A, Mr. B, Mr C incorpated ABC pvt ltd. Company on 1st January 2016. But the date on certificate of incorporation was 30th January. Mr. A purchase raw material for company on 25th December 2015 Mr. B purchases furniture for company but some of it use it home purpose on 15th January 2016 on the name of company. when the bill was presented company refuses to pay the bill.
- (i) Which is legal date of incorporation of company?
- (ii) Is the company liable to pay B
- (iii) State remedies available to Mr. A for recovery of expenses.

(b) It was mentioned in companies prospectus that company makes a provision for purchase of foreign machinery which will reduce the production cost and considerable increase in profit of company is expected. Beliving on prospectus many person invests in company. But during year fails to purchase machinery. A press reporter file suit against directors who signs the prospectus.
- (i) Can press reporter do so? Why?
- (ii) In the above case are the Directors personally liable for misrepresentation in prospectus? why?

(c) A Private Company has only two shareholder who are also the directors. The company has made large profits, but there is a complete deadlock in the management of the company. One of the shareholders applied for the Winding up of a company.
