How to use this volume
Solve the paper first, under exam conditions and against the clock. Then read the answers here and mark your own. Reading a solution before attempting the question feels productive and teaches very little, because recognising an answer is not the same as being able to write one.
Q.1: Answer in one or two sentences each, any 6 out of 10
12 Marks - 2 marks each
Answer
Section 4 of the Indian Partnership Act, 1932 defines partnership as "the relation between persons who have agreed to share the profits of a business carried on by all or any of them acting for all". It adds that persons who have entered into partnership with one another are called individually "partners" and collectively "a firm". The name under which their business is carried on is the "firm name".
So a firm is the partners taken together. It is not a legal person separate from them. A firm may sue and be sued in the firm name for convenience, but the partners are the real parties. That is also why every partner is personally liable for the firm's debts (section 25).
Its essentials. An agreement, between two or more persons, to carry on a business, to share its profits, with each acting for all.
Dhanasingh Prabhu v. Chandrasekar, decided by the Supreme Court on 14 July 2025. A cheque issued by a partnership firm bounced, and the complaint named only the two partners. The High Court threw it out because the firm was not named. The Supreme Court restored it, holding that a firm "is not a distinct legal entity and is only a compendium of its partners".
