How to use this volume
Solve the paper first, under exam conditions and against the clock. Then read the answers here and mark your own. Reading a solution before attempting the question feels productive and teaches very little, because recognising an answer is not the same as being able to write one.
Q.1: Answer in 1-2 sentences
20 Marks - 2 marks each
Answer
Section 31(1) of the Indian Partnership Act, 1932: "Subject to contract between the partners and to the provisions of section 30, no person shall be introduced as a partner into a firm without the consent of all the existing partners."
Why every partner must agree. Each partner is an agent of the firm (section 18), and all are liable for what any one does (section 25). A newcomer could bind the others, so none of them can be forced to accept him.
The two qualifications.
His position. An incoming partner is not liable for acts of the firm done before he joined (section 31(2)).
Fatehchand Murlidhar v. Commissioner of Income-tax, AIR 1967 SC 383. A partner agreed with outsiders to share his own share of the firm's profits and losses with them. The Supreme Court held that this made them his sub-partners, not partners in the firm. Without the other partners' consent, they had no direct claim against those partners.
