How to use this volume
Solve the paper first, under exam conditions and against the clock. Then read the answers here and mark your own. Reading a solution before attempting the question feels productive and teaches very little, because recognising an answer is not the same as being able to write one.
Q.1: Answer the following questions in not more than two sentences each
20 Marks - 2 marks each
Answer
Section 9 of the Indian Partnership Act, 1932 sets out the general duties: partners "are bound to carry on the business of the firm to the greatest common advantage, to be just and faithful to each other, and to render true accounts and full information of all things affecting the firm to any partner or his legal representative".
Four general duties.
Others follow from these. A partner must indemnify the firm for loss caused by his fraud (section 10). He must attend diligently to the business (section 12(b)). And he must hand over any private profit made from the firm's business, property or name (section 16).
Crystal Transport Pvt. Ltd. v. A. Fathima Fareedunisa, 2024 INSC 859. One of four equal partners sued for dissolution and accounts. The other three had moved the firm's funds and assets into a private company of their own. The Supreme Court upheld an order sending the case back for accounts. The company might have used the firm's assets until final settlement. If so, the plaintiff could claim a share of the profits made from her share in them.
So the partner's duties are those of a trustee towards the others: good faith, honest accounts and full disclosure.
